Terms & Conditions

These Terms & Conditions govern your use of Sales Commission Control (the "Service"), provided by E&M Services, LLC ("E&M Services", "we", "us"). By creating an account or continuing to use the Service, you agree to be bound by these terms. You confirm that you are of legal age and, if you use the Service on behalf of an organization, that you have authority to bind that organization.

1. The Service

Sales Commission Control is a web application for tracking customers, invoices, inventory items, collections, and sales commission calculations and payouts across one or more organizations. We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected.

2. Accounts and accuracy

• You must provide accurate account information and keep it up to date.
• You are responsible for keeping your credentials confidential and for all activity under your account.
• Administrators are responsible for the users they create and the roles they assign.

3. Acceptable use

You must not misuse the Service. In particular, you must not:

• use the Service for any unlawful purpose;
• engage in fraud, spam, or misrepresentation;
• infringe the intellectual property or privacy rights of others;
• interfere with security, including uploading malware, probing, penetration testing without consent, or scraping;
• reverse engineer, resell, redistribute, or circumvent technical limits of the Service.

4. Intellectual property

E&M Services, LLC retains all ownership of the Service and its intellectual property, including software, documentation, and branding. You retain ownership of the data you upload; you grant us a limited license to host and process that data solely to provide the Service.

5. Payment and subscription terms

Subscriptions are billed on a recurring basis according to the plan selected. Payment, billing, tax, invoicing, cancellation, and refund mechanics are handled by our reseller. For full details, see the Paddle Buyer Terms and our Refund Policy.

6. Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

7. Service level and warranties

We work to keep the Service available and accurate, but we do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. Commission figures, balances, and reports produced by the Service are tools to support your own accounting and are not financial, tax, or legal advice; you remain responsible for verifying them.

8. Suspension and termination

We may suspend or terminate access where there is:

• material breach of these terms;
• non-payment of fees;
• a security or fraud risk;
• repeated or serious policy violations.

You may cancel at any time. On termination, you may export your data during a reasonable window, after which it may be deleted in line with our Privacy Notice.

9. Liability

To the extent permitted by law, our aggregate liability is limited to the fees you paid in the twelve months preceding the claim. We exclude liability for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing limits liability for fraud, death, or personal injury where such limitation is prohibited by law.

10. Indemnity

You will indemnify E&M Services, LLC against claims arising from your content, your unlawful use of the Service, or your breach of these terms.

11. General

These terms are governed by the laws of the State of Florida, United States, and disputes will be resolved in its courts. You may not assign these terms without our consent; we may assign them in connection with a merger or acquisition. Neither party is liable for delays caused by events beyond reasonable control.
